DigitalVinyl Player End User License Agreement

DigitalVinyl incorporates proprietary technology owned by Waveform Intelligence Inc. and protected by applicable intellectual-property laws. Certain DigitalVinyl technology is the subject of one or more pending patent applications. Additional protection may include copyright, trade-secret, trademark, contractual, and other intellectual-property rights.
This End User License Agreement (“Agreement”) is between you and Waveform Intelligence Inc. and governs installation and use of the DigitalVinyl Player (“Player”). It licenses only the Player. It does not grant a license to an encoder or converter, a nonpublic DigitalVinyl format specification or implementation, music or other media, or another product or technology of Waveform Intelligence Inc., except as necessary to use the Player as expressly authorized here. No such right is granted by implication or estoppel.
If you do not agree to this Agreement, do not install or use the Player.
1. License
Subject to this Agreement, Waveform Intelligence Inc. grants you a limited, nonexclusive license, personal to you and not transferable to another person, to install and use the Player in accordance with the license issued to you. The Player is licensed, not sold.
A paid license permits unlimited playback under its applicable licensing controls. It is not a subscription and has no lifetime playback limit. The Free Trial permits up to 50 plays under its trial controls.
Where a license is issued using a computer’s Machine ID, it is valid only for that computer. Using the Player on a replacement computer requires a new or reissued license. If you replace your computer, contact Waveform Intelligence Inc. support to ask about reissue options.
A license associated with a USB licensing device authorized by Waveform Intelligence Inc. or another licensing method is governed by the controls provided with that product if and when offered.
2. Restrictions
Except to the extent expressly permitted by applicable law notwithstanding these restrictions, you may not, and may not assist another person or system to:
- Copy or distribute the Player or its license, except for a backup copy reasonably necessary for your own licensed use;
- Sell, sublicense, rent, lease, lend, share, publish, or transfer the Player or its license to another person except as Waveform Intelligence Inc. expressly authorizes;
- Modify, translate, adapt, patch, alter, or create derivative works from the Player;
- Reverse engineer, decompile, disassemble, decode, decrypt, trace, instrument, emulate, or otherwise analyze the Player for the purpose of discovering or deriving its source code, algorithms, internal operation, data structures, protocols, cryptographic material, licensing mechanisms, DigitalVinyl file-format implementation, encoding methods, or other nonpublic technical information;
- Use a debugger, disassembler, memory inspector, automated code-analysis system, artificial intelligence system, machine-learning system, or similar tool for the purpose of carrying out an activity prohibited by this Agreement;
- Provide the Player, its binaries, memory contents, internal data, or other nonpublic technical material to an artificial intelligence system, automated agent, or online analysis service for the purpose of prohibited analysis or development of an unauthorized encoder, converter, compatible implementation, circumvention mechanism, or competing implementation based on nonpublic technology of Waveform Intelligence Inc.;
- Extract, disclose, or misuse embedded keys, certificates, credentials, tokens, cryptographic material, Machine ID binding information, license state, or other nonpublic security or licensing information;
- Bypass, disable, spoof, defeat, or interfere with activation, Machine ID binding, trial limits, license checks, play controls, integrity checks, authentication, or other technical protections;
- Clone, duplicate, emulate, or falsify an activated installation, Machine ID, licensed device, license state, or authorization for use on an unauthorized computer or device; or
- Use the Player in violation of law or another person’s rights.
Nothing in this section prohibits an activity that applicable law expressly permits notwithstanding these contractual restrictions, including any nonwaivable interoperability right. Ordinary authorized playback and support requests are not prohibited analysis.
3. Nonpublic Technology
The Player contains proprietary and nonpublic technology belonging to Waveform Intelligence Inc. This Agreement does not grant a right to obtain, disclose, reproduce, publish, transmit, or commercially exploit the nonpublic source code, algorithms, encoding or waveform-representation methods, file-format implementation details, internal data structures, protocols, cryptographic materials, licensing systems, or security mechanisms of Waveform Intelligence Inc. except as necessary for authorized use of the Player.
Observable Player functions or capabilities do not, by themselves, grant a license to the underlying nonpublic technology or implementation.
4. Confidential Technical Information
“Confidential Technical Information” means nonpublic technical information concerning DigitalVinyl or technology of Waveform Intelligence Inc. that Waveform Intelligence Inc. provides or that you lawfully obtain under circumstances reasonably indicating confidentiality. It may include nonpublic source code, algorithms, encoding or reconstruction methods, file-format implementation details, internal documentation, cryptographic material, and licensing or security mechanisms. Ordinary publicly observable Player behavior is not, by itself, Confidential Technical Information.
You agree to use Confidential Technical Information only as necessary for authorized use of the Player; protect it with reasonable care; and not disclose it to third parties or use it to develop an unauthorized encoder, converter, compatible implementation, circumvention mechanism, or other product based on nonpublic technology of Waveform Intelligence Inc. You may not provide it to an AI or automated analysis service for those prohibited purposes. Notify Waveform Intelligence Inc. promptly if you become aware of unauthorized disclosure of Confidential Technical Information in your possession or control.
Confidential Technical Information does not include information that you can demonstrate became public without your breach; was lawfully known to you without a duty of confidentiality; was lawfully received from someone entitled to disclose it; or was independently developed without use of Confidential Technical Information of Waveform Intelligence Inc.
Nothing here restricts disclosures required or protected by law, including confidential disclosures to a government official or attorney solely to report or investigate a suspected legal violation, or disclosures in a sealed court filing. Confidentiality obligations survive termination for as long as the information remains protected as confidential or as a trade secret under applicable law.
5. Ownership and Third-Party Components
Waveform Intelligence Inc. and its licensors retain all rights, title, and interest in the Player, DigitalVinyl technology, associated intellectual property, and trademarks. Third-party components remain governed by their applicable licenses and notices; this Agreement does not take away rights those licenses grant. The Player does not grant rights in music or other media played through it. You are responsible for the permissions required for your use of that media.
6. Updates and Support
Waveform Intelligence Inc. may offer updates or support but does not promise a particular update, feature, compatibility period, or level of support unless separately agreed in writing. An update may be subject to additional terms presented before installation or use.
7. Purchases and Refunds
Purchases are subject to the Sales and Refunds policy below. If a purchase is refunded, the corresponding paid license ends, except where applicable law requires otherwise. Nothing in this Agreement limits rights or remedies that cannot legally be waived.
8. Privacy
Activation, licensing, and support may require information including your Machine ID, license and purchase information, and contact information. The Privacy Policy of Waveform Intelligence Inc. explains its handling of personal information.
9. No Warranty
THE PLAYER, SOFTWARE, MEDIA, AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Waveform Intelligence Inc. disclaims those warranties. This section does not limit a warranty or consumer right that cannot legally be excluded.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Waveform Intelligence Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, use, or business opportunities arising from or relating to the Player. The total liability of Waveform Intelligence Inc. arising from or relating to the Player will not exceed the greater of the amount paid for the applicable license or US $50. These limitations do not apply where prohibited by law, including to liability that cannot legally be limited.
11. Termination
A material breach of this Agreement may terminate your license and legal authorization to use the Player. Upon termination, you must stop using the Player and delete copies under your control, except where retention is required by law. To the extent permitted by law, Waveform Intelligence Inc. may refuse further activation of a terminated license. This describes legal rights and does not represent that Waveform Intelligence Inc. can remotely disable an installed offline Player.
Termination does not erase obligations or claims arising before termination or prevent Waveform Intelligence Inc. from seeking remedies available under applicable law. Provisions concerning ownership, restrictions, confidentiality, warranty disclaimers, liability limits, and provisions that by their nature should survive remain in effect.
12. Governing Law and General Terms
Michigan law governs this Agreement, without regard to conflict-of-law rules, except where mandatory law in your place of residence applies. Disputes will be brought in courts located in Kent County, Michigan, unless applicable law gives you another venue that cannot be waived.
If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver. This Agreement and any terms expressly incorporated into it form the agreement concerning the Player.
